1. Acceptance of Terms
By creating an Orbit360 account, accessing, or using the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use Orbit360.
2. Eligibility
To use Orbit360, you must:
- Be at least 18 years old, or the legal age of majority in your jurisdiction.
- Have the authority to enter into these Terms on behalf of any organization you register for, and to bind that organization to these Terms.
3. User Accounts
You are responsible for:
- Safeguarding your login credentials and access tokens.
- All activity that occurs under your account, whether or not authorized by you.
- Providing accurate, current, and complete registration information and keeping it up to date.
Notify us immediately if you suspect any unauthorized use of your account or any other breach of security.
4. Subscription & Billing
Certain Orbit360 features require a paid subscription. Subscriptions are billed in advance according to your selected billing cycle (monthly or annual).
- Automatic renewals. Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- Taxes. Prices are exclusive of applicable taxes, which will be added where required by law.
- Failed payments. If a payment fails, we may retry the charge and suspend access until the balance is settled.
- Upgrades & downgrades. Plan changes take effect immediately or at the next renewal, depending on the change.
- Cancellation. You may cancel at any time; access continues until the end of the current paid period. Fees already paid are non-refundable except where required by law.
5. Acceptable Use
You agree that you will not:
- Access data, accounts, or systems you are not authorized to use.
- Reverse engineer, decompile, or attempt to derive source code from the platform.
- Distribute malware, viruses, or any other malicious code through the service.
- Send spam, unsolicited messages, or content that violates platform policies.
- Abuse APIs, exceed documented rate limits, or scrape data without permission.
- Upload, publish, or distribute illegal, infringing, or harmful content.
- Interfere with, disrupt, or degrade the availability of the platform for others.
6. User Content
You retain ownership of the content you upload, create, or publish through Orbit360. By using the service, you grant Orbit360 the limited permissions required to store, process, transmit, and display your content solely to operate and improve the service on your behalf.
You are solely responsible for ensuring that you own the rights to any content you upload and that its use through Orbit360 does not violate the rights of any third party.
7. Intellectual Property
The Orbit360 software, branding, design, documentation, logos, and underlying technology are and remain the exclusive property of Orbit360 and its licensors. These Terms do not grant you any right, title, or interest in the platform other than the limited right to use it in accordance with these Terms.
8. Third-Party Services
Orbit360 integrates with third-party services to help you publish and manage content across platforms, including:
- Meta (Facebook, Instagram)
- X
- TikTok
- YouTube
- Bluesky
Your use of any connected third-party service is also governed by that provider's own terms and policies. Orbit360 is not responsible for the content, availability, or practices of third-party services.
9. Data & Privacy
Orbit360 processes personal data in accordance with our Privacy Policy. Data is stored on secure infrastructure, and we implement reasonable technical and organizational safeguards designed to protect it against unauthorized access, alteration, disclosure, or destruction.
10. Availability
Orbit360 aims to provide a highly available service but does not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, or unforeseen events may temporarily affect availability.
11. Termination
You may close your Orbit360 account at any time from your account settings.
Orbit360 may suspend or terminate accounts that violate these Terms, create legal or security risk, or engage in conduct harmful to the platform or other users. Where reasonable, we will provide notice before suspension.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Orbit360 shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the service. Orbit360's total aggregate liability for any claim arising out of these Terms shall not exceed the fees you paid for the service in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Orbit360, its affiliates, and their respective officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your misuse of the platform, your content, or your violation of these Terms.
14. Governing Law
These Terms are governed by the laws applicable to Orbit360's principal place of business, without regard to conflict-of-law principles, unless otherwise required by applicable law.
15. Changes to Terms
We may update these Terms from time to time to reflect changes in our service, legal requirements, or business practices. When we make material changes, we will notify you through the platform or by email where required. Continued use of Orbit360 after changes take effect constitutes acceptance of the updated Terms.
